Singularity License Agreement

This License Agreement (“Agreement”) governs the use of the Singularity Next.js React theme and related design assets (“Content”) provided by Xixaux Corporation through SingularityThemes.com (the “Website”). By purchasing, downloading, or using the Content, you (“Licensee”) agree to be bound by this Agreement. This Agreement applies solely to the Content and does not govern the use of the Website, which is subject to the Terms of Use and Privacy Policy. No others may access your account or use the Content licensed through your account without our express written permission.

1. Definitions
Xixaux Corporation means Xixaux Corporation, a legal entity based in the United States.
Content means the Singularity Next.js React theme, including source code, design assets (e.g., Figma, Sketch, Adobe XD files, if applicable), and associated metadata.
You and Your refer to a single individual or a single legal entity (e.g., a business or non-profit).
End Product means the final website or application in which the Content is used.
End User means the person or entity using the End Product.
Client means one entity to whom you transfer your license in exchange for your services (e.g., a freelancer transferring a license to a client).
2. Content Licenses
Xixaux Corporation grants you a non-exclusive, royalty-free, perpetual, non-transferable license to use, modify (except as prohibited herein), and reproduce the Content worldwide, subject to the limitations set forth in this Agreement.
2.1 Standard License
The Standard License allows you to use the Content in one End Product for yourself or one Client, provided the End Product is distributed for free.
You can:
Use the Content in one End Product for personal or company use.
Use the Content in one End Product for a Client, transfer the End Product to the Client, and charge for your services. The license transfers to the Client.
Modify the Content or combine it with other works to create a derivative work, subject to this Agreement.
You cannot:
Use the Content in an End Product that is sold (e.g., with paying End Users).
Use the Content in more than one End Product without purchasing additional licenses.
Use the license for more than one organization or Client.
Redistribute the Content’s source code, even if modified, except as part of an End Product.
Use the Content in applications allowing End Users to customize it (e.g., “theme generators”).
Allow End Users to access the Content’s source code separately from the End Product.
If the Content includes third-party code or assets under a different license, those items retain their original license, and you are responsible for compliance.
2.2 Extended License
The Extended License allows you to use the Content in one End Product for yourself or one Client, which may be sold or distributed for free.
You can:
Use the Content in one End Product for personal or company use.
Use the Content in one End Product that is sold (e.g., a SaaS product with paying End Users).
Use the Content in one End Product for a Client, transfer the End Product to the Client, and charge for your services. The license transfers to the Client.
Modify the Content or combine it with other works to create a derivative work, subject to this Agreement.
You cannot:
Use the Content in more than one End Product without purchasing additional licenses.
Use the license for more than one organization or Client.
Redistribute the Content’s source code, even if modified, except as part of an End Product.
Use the Content in applications allowing End Users to customize it (e.g., “theme generators”).
Allow End Users to access the Content’s source code separately from the End Product.
If the Content includes third-party code or assets under a different license, those items retain their original license, and you are responsible for compliance.
2.3 Design License
The Design License applies to design assets (e.g., Figma, Sketch, Adobe XD files) included with Singularity, if applicable. An “editor” is a person contributing to or modifying UI designs using the Content.
You can:
Use the Content in an unlimited number of End Products, which may be sold or distributed for free.
Publish the Content in your team’s library for use within your organization, provided you purchase licenses for each editor.
Create End Products for Clients, transfer them to Clients, and charge for your services.
Modify the Content or combine it with other works to create derivative works, subject to this Agreement.
You cannot:
Use the Content for more editors than the number of licenses purchased.
Redistribute the Content’s source, even if modified, except as part of an End Product.
Use the Content in applications allowing End Users to customize it (e.g., “theme generators”).
Allow End Users to access the Content’s source separately from the End Product.
You must purchase licenses corresponding to the maximum number of editors working concurrently in a 24-hour period. No licenses are required for viewing designs.
3. Restrictions on Use of Content
You may not:
Use the Content except as permitted by the purchased license.
Resell, redistribute, share, or transfer the Content, except as part of an End Product.
Use the Content in a manner that infringes third-party trademarks or intellectual property, or that could lead to claims of deceptive advertising or unfair competition.
Use the Content in a pornographic, defamatory, or illegal context.
4. No Data Collection by the Content
The Singularity Next.js React theme does not include integrated data collection mechanisms beyond what is technologically necessary for its functionality (e.g., rendering the theme). Any data collection by websites built with Singularity is determined by your own configuration, not the Content itself.
5. Third-Party Platforms
If you purchase or access Singularity through third-party platforms or marketplaces, this Agreement governs your use of the Content. Xixaux Corporation is not responsible for the terms or practices of such platforms.
6. Warranties and Representations
Xixaux Corporation warrants that:
It has the necessary rights to grant the licenses set forth in this Agreement.
The Content, in its original form and used in compliance with this Agreement and applicable law, does not infringe copyrights, trademarks, or other intellectual property rights, violate third-party privacy or publicity rights, or breach U.S. laws.
Xixaux Corporation makes no warranties regarding the accuracy of descriptions or metadata and is not liable for claims arising from inaccuracies.
7. Indemnification and Liability
Xixaux Corporation will indemnify and hold you harmless, up to a limit of $1,000 per claim, for direct damages arising from a third-party claim due to Xixaux Corporation’s breach of the warranties in Section 6, provided you notify us promptly in writing at support@singularitythemes.com and cooperate fully in the defense. Notification must include all claim details and be sent via certified mail to Xixaux Corporation’s registered address or overnight courier with signature required.
Xixaux Corporation is not liable for damages arising from modifications to the Content or the context of its use. You agree to indemnify Xixaux Corporation against damages or liability from unauthorized use of the Content or breaches of this Agreement.
8. Termination
This license may be terminated if you breach its terms. Upon termination, you must cease using the Content and destroy all copies. If the Content is subject to an infringement claim, you must remove it from your systems and cease use within a reasonable time. Xixaux Corporation may provide comparable Content at no cost, subject to this Agreement.
9. Additional Terms
You are responsible for any applicable taxes (e.g., sales tax, VAT) under your state or country’s laws. “Non-transferable” means you may not sell, rent, or sublicense the Content except as permitted herein. If you transfer a license to a Client, you must disclose their identity to Xixaux Corporation upon reasonable request.
If any term of this Agreement is found invalid, the remaining terms remain in effect. This Agreement is governed by the laws of the State of New Jersey, with disputes subject to the exclusive jurisdiction of state and federal courts in Essex County, New Jersey.
